1. ELIGIBILITY. To be eligible for this Contest, an individual must: (i) be a legal resident of Ontario, Quebec, Manitoba, Alberta and British Columbia and (ii) be 18 years of age or older at the time of entry. Employees, representatives, agents, immediate family members of employees, representatives, agents and persons domiciled with employees, representatives, agents or immediate family members of employees, representatives or agents of CANOE Inc., Sun Media Corporation, Ici-Mirror, TVA Films, Sandals Resorts/Unique Vacations Inc., Air Canada Vacations, Travel Sensations, Cake Beauty, and Wedding Bells (collectively, "Sponsors") and the Sponsor's respective parents, affiliates, subsidiaries, advertising or promotional agencies, any sponsor and any entity involved in the production, implementation, administration or fulfillment of the Contest, or Contest Judges (and persons domiciled with Contest Judges) ("Administrators"); or a member of the immediate family or household of any of the above are not eligible to participate in the Contest . This Contest is void where prohibited by law.

2. HOW TO ENTER. The Contest begins at 12:00 AM EST on Monday, November 7th, 2005 and closes at 12:00 PM EST on Friday, November 25th, 2005 (the "Entry Period"). No purchase is necessary to enter the Contest. You will require a CANOE ID. To enter the Contest, fill out the online entry form located on the Contest site at: http://jam.canoe.ca/Contests/Cake/

Limit of one entry per person or e-mail address per day per household during the Entry Period. Entries received online shall be deemed to be submitted by the holder of the e-mail account. Multiple Entries by the same person or from the same e-mail address or from the same person from different e-mail addresses in one day shall result in disqualification. All Entries must be submitted no later than the end of the Entry Period. All Entries become the property of the Sponsors and will not be returned. Entries will only be accepted online. Illegible, incomplete, late or garbled Entries will be disqualified. No Entries will be accepted by any other means, including but not limited to regular postal mail.

3. WINNER SELECTION:

a. On Friday, November 25th, 2005 in Toronto, Ontario at 2:00 PM EST, one potential grand prize winner will be selected by a random draw from all eligible online Entries received. Five potential secondary prize winners will be drawn from each of the following markets: Toronto, Ottawa, Montreal, Winnipeg, Edmonton, Calgary and Vancouver. For potential third prize winners, the following number of winners will be drawn: Toronto - 90, Ottawa - , Montreal - , Winnipeg -10, Edmonton - 25, Calgary -, and Vancouver - . Odds of winning depend on the number of eligible entries received. Potential prize winners will be required to answer, without assistance of any kind, whether mechanical or otherwise, a time-limited mathematical skill-testing by phone call, and to comply with all the Contest Rules in order to be deemed an official winner. The prizes are not transferable or convertible to cash and must be accepted as awarded.

b. The potential winners will be notified by phone within 1 hour of the contest end time. Upon notification, the potential winners must respond within 2 days to the provided contact information in the notification. If the potential winners do not respond in accordance with the Contest Rules or the potential winners do not comply with the Contest Rules, he/she will be disqualified and will not receive a prize and other potential winners will be selected. Sponsors are not responsible for the failure for any reason whatsoever of potential winners to receive notification or for Sponsors to receive potential winners’ responses.

c. WINNERS LIST. The name of the winner will be posted on http://jam.canoe.ca/Contests/Cake/

d. Winners will be required to sign an agreement and release confirming compliance with the Contest Rules and acceptance of the prize as offered and (i) releasing the Sponsors and their respective parent companies, subsidiaries, affiliates, employees directors, officers, suppliers, agents, sponsors and Administrators from any and all liability for any loss, harm, damages, cost or expense arising out of participation in this Contest or participating in any prize-related activity or the acceptance, use or misuse of any prize, including without limitation costs injuries, losses and damages related to personal injuries, death, damage to, loss or destruction of property, rights of publicity or privacy, defamation, or portrayal in a false light, or from any and all claims of third parties arising therefrom and (ii) granting Sponsors the unrestricted rights, in their collective or individual discretion, to publish without any further compensation the name, picture, portrait, likeness, voice and ideas of that entrant for advertising and promotional purposes. The agreement and release must be returned within two business days of the notification date indicated on the documents or the selected entrant will be disqualified and the prize forfeited.

4. PRIZES.

One grand prize winner will receive a trip for two to the ultra all-inclusive Sandals Antigua Caribbean Village & Spa in Antigua which includes seven (7) night accommodation, return transfers from the airport to the resort, all meals including anytime snacks and unlimited beverages, nightly entertainment, all water and land sports, and all government hotel taxes and tips. Air Canada Vacations will provide return economy airfare for two from major gateway airport closest to winner’s residence to Antigua. Grand Prize winner will also receive a Cake Beauty Gift Basket and a double pass to see Cake in theatres (valid Monday through Thursday, run of engagement). Total approximate value $5074.

Trip is only valid for one year from the contest close date. All bookings with Sandals Resorts and Air Canada Vacations are subject to availability and blackout dates may apply. Confirmation of travel dates will only be provided 30 days prior to the departure date. Winner is responsible for transportation to and from the winner’s residence and designated airport, plus any extra room charges not otherwise indicated in prize description. A processing fee of $25.00 USD per couple per night will apply and must be paid by either credit card or certified cheque prior to travel. This processing fee is the responsibility of the winner. Winner will be required to provide a valid credit card upon check-in at the resort property as security for any potential room charges not stated within the prize description. It is the full responsibility of the winner and guest to buy travel insurance and acquire all necessary travel documents (passport, visa, etc). All departure taxes, items of a personal nature and all other costs and expenses not specifically stated as included herein are the responsibility of the winner. Trip and prize package must be accepted as awarded without substitution and is not transferable, not for resale and has no cash surrender value. Sandals resorts reserves the right to relocate any processed prizewinner from their hotel of choice to an alternate resort within the chain or to alternate dates, based on availability of space. The Sponsors reserve the right, in the event that the prize package or any component of the prize package cannot be awarded as described for any reason, to substitute another prize package or component of the prize package of equal or greater value, without liability.

Five Secondary Prize winners in each market (Toronto, Ottawa, Montreal, Winnipeg, Edmonton, Calgary and Vancouver) will receive a Cake Beauty Gift Basket, a double pass to see Cake in theatres (valid Monday through Thursday, run of engagement). Total approximate value of each prize package: $80

Third Prize winners in each market will receive a double pass to see Cake in theatres (valid Monday through Thursday, run of engagement). These passes will be awarded as follows:
90 winners in Toronto (45 - 24 hours and 45 -Toronto SUN)
25 winners in Ottawa
75 winners in Montreal
25 winners in Winnipeg
25 winners in Edmonton
25 winners in Calgary
45 winners in Vancouver

All secondary and third prize winners in Toronto, Calgary, Edmonton, Winnipeg, and Vancouver have 30 days to pick up their prizing. Winners in Ottawa have 14 days to do so. Winners in Montreal can pick up prizing from November 28th to December 2nd. Prizing can be picked up during the times and addresses listed below:

All winners will be required to show photo ID at time of pick up. No exceptions. Prizes must be accepted as awarded and cannot be transferred, substituted or redeemed for cash. Sponsors reserve the right, in their sole discretion, to substitute any and all of the prizes for prizes of equal or greater value should all or part of a prize become unavailable for any reason.

A representative from the CANOE Network will contact Grand Prize and Secondary winners by phone. All third prize winning names can be found on http://jam.canoe.ca/Contests/Cake/

5. GENERAL CONDITIONS:

a. All Entries become property of the Sponsors upon receipt and will not be returned and no correspondence will be entered into except with selected Entrants.

c. Entries are subject to verification and will be declared invalid if they are illegible, incomplete, mechanically reproduced, mutilated, forged, falsified, altered or tampered with in any way.

6. INDEMNIFICATION BY PARTICIPANTS. By entering the Contest, Entrant: (a) releases and holds harmless Sponsors and Administrators and their respective directors, officers, employees, parent companies, subsidiaries, affiliates, suppliers, sponsors and agents from any and all liability for any injuries, loss or damage of any kind to persons, including death, or property damage, resulting in whole or in part, directly or indirectly, from acceptance, possession, use or misuse of any prize, participation in this Contest, or participating in any prize-related activity; and (b) agrees to fully indemnify Sponsors and Administrators and their respective directors, officers, employees, parent companies, subsidiaries, affiliates, suppliers, sponsors and agents from any and all claims by third parties without limitation.

7. CONDUCT: By entering this Contest, Entrants agree to be bound by these Contest Rules, which will be posted at the Contest Website throughout the Contest. Entrants further agree to be bound by the decisions of the judges, which shall be final and binding in all respects. Sponsors reserve the right, in their sole discretion, to disqualify any Entrant it finds to be: (a) tampering or attempting to tamper with the entry process or the operation of the Contest, the Contest Web site, or any CANOE Web site; (b) violating the Contest Rules; (c) violating the terms of service, conditions or use and/or general rules or guidelines of any CANOE property or service, or (d) acting in an unsportsman-like or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. CAUTION: ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, CANOE RESERVES THE RIGHT TO IMMEDIATELY TERMINATE THE USER'S ACCOUNT, IF ANY, AND SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.

8. LIMITATION OF LIABILITY: Sponsors and Administrators assume no responsibility or liability for lost, late, misdirected or incomplete Entries, notifications, responses, replies, or any agreement and release documents or for any computer, online, telephone, hardware, software or technical malfunctions that may occur (including but not limited to malfunctions that may affect the transmission or non-transmission of an Entry). Sponsors and Administrators are not responsible for any incorrect or inaccurate information, whether caused by website users or by any of the equipment or programming associated with or utilized in the Contest or by any technical or human error which may occur in the processing of Entries in the Contest. Sponsors and Administrators assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, Entries. Sponsors and Administrators are not responsible for any problems, failures or technical malfunction of any telephone network or lines, computer online systems, servers, providers, computer equipment, software, e-mail, players, or browsers, on account of technical problems or traffic congestion on the Internet, at any website, or on account of any combination of the foregoing. Sponsors and Administrators are not responsible for any injury or damage to Entrants or to any computer related to or resulting from participating or downloading materials in this Contest. If, for any reason, the Contest is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of Sponsors and Administrators which corrupt or affect the administration, security, fairness, integrity or proper conduct of this Contest, and the Sponsors reserve the right at their sole discretion to cancel, terminate, modify or suspend the Contest.

9. ONLINE ACCOUNT HOLDER INFORMATION: In the event of a dispute regarding who submitted an online entry, the Entry will be deemed submitted by the authorized account holder of the e-mail address, submitted at the time of entry. Authorized account holder is defined as the natural person who is assigned to an e-mail address by an Internet access provider, online service provider or other organization that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. Selected Entrants may be requested to provide Sponsors with proof that they are the authorized account holder of an e-mail address associated with the winning entry.

10. PRIVACY: By entering the contest, Entrant agrees to (a) CANOE’s use of Entrant's personal information for the purposes of administering this Contest and, unless otherwise specified, for market and consumer research purposes; (b) disclosure of the entrant's personal information on this entry form to third parties within the CANOE Network; and (c) CANOE’s use of entrant's personal information as described in CANOE’s Privacy Policy at: http://rapids.canoe.ca/cgi-bin/reg/NR-register.pl?LANGUAGE=EN&MODE=PRIVACY_POLICY&LOOK=CANOE. To the extent that CANOE, as one of the Sponsors, collects, uses and discloses to third parties your personal information, it will do so only for the purpose of administering the contest and awarding prizes.

11. LAWS. These are the official Contest Rules. This Contest is subject to all federal, provincial and municipal laws and regulations. These Contest Rules are subject to change without notice in order to comply with any applicable federal, provincial and municipal laws or the policy of any other entity having jurisdiction over the Sponsors.

12. TERMINATION: Sponsors reserve the right to amend or terminate all or any portion of this Contest at any time for any reason without prior notice.

13. DISPUTE RESOLUTION: In case of dispute in regards to this contest, entrant should visit http://www.canoe.ca/Help/ to submit your contest query. 14. RÉGIE DES ALCOOLS: Any litigation respecting the conduct or organization of a publicity contest may be submitted to the Régie des alcools, des courses et des jeux for a ruling. Any litigation respecting the awarding of a prize may be submitted to the Régie only for the purpose of helping the parties reach a settlement. Restrictions may apply.
